Terms & Conditions

This is a translation of the Dutch terms and conditions. In case of discrepancies, the [Dutch version](/nl/terms) prevails.

1. Definitions

  • Screenbird: the service offered by Screenbird (Chamber of Commerce 50466542), located in Groningen, the Netherlands
  • Service: the Screenbird platform for digital signage, including dashboard, player, storage and all related functionality
  • Customer: the legal entity or natural person acting in a professional or business capacity who creates an Account
  • Account: access to the Service after registration
  • Content: all files (images, videos, documents) uploaded by the Customer to the Service
  • Screen: a device that plays content through the player application
  • Subscription: the agreement between the Customer and Screenbird for use of the Service

2. Applicability

These Terms and Conditions apply to all use of the Service and every agreement between Screenbird and the Customer. Deviating terms from the Customer do not apply unless accepted by Screenbird in writing.

The Service is intended exclusively for business use (B2B).

3. Account registration

Creating an account

The Customer creates an Account via the dashboard or via OAuth login (Google or Microsoft). The Customer guarantees that the information provided is accurate and up to date.

Responsibility

The Customer is responsible for keeping login credentials confidential and for all activities that take place under the Account.

Team members and roles

The Customer can invite team members and assign roles (owner, administrator, member). The Customer remains responsible for the actions of team members.

4. Service delivery

Screenbird offers the following functionality:

  • Upload and manage Content (images, videos, documents)
  • Create and edit playlists
  • Set up schedules via the calendar (events, recurrence, default content)
  • Push-to-screen: send content directly to screens
  • Pair screens using a pairing code
  • Offline-first player: content continues playing during internet outages
  • 10 GB storage per Screen included, expandable via storage packages

5. Subscription and payment

Pricing model

The Subscription is charged per Screen. All prices are exclusive of VAT.

Trial period

New customers receive a 7-day free trial. A valid payment method is required at the start. After the trial period, the paid Subscription starts automatically.

Billing cycles

Subscriptions are available on a monthly or annual basis and are renewed automatically.

Cancellation

The Customer may cancel the Subscription at any time via the dashboard or by email. Cancellation takes effect at the end of the current billing cycle.

Non-payment

In case of late payment, Screenbird may suspend access to the Service after a reminder. Outstanding amounts remain due.

6. Availability

Screenbird strives for high availability of the Service but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (announced in advance where possible)
  • Outages at third-party service providers (Cloudflare, Supabase)
  • Force majeure

The offline-first player continues to display content during temporary internet outages.

7. Intellectual property

Platform

All intellectual property rights to the Screenbird platform (software, design, documentation) belong to Screenbird. The Customer receives only a limited, non-exclusive and non-transferable right of use for the duration of the Subscription.

Content

The Customer retains all rights to Content uploaded by the Customer. The Customer grants Screenbird a limited license to store, process and display this Content on connected screens, solely for the purpose of the Service.

8. Data processing

Screenbird processes personal data in accordance with the GDPR. See our Privacy Policy for details.

For the processing of personal data in Content uploaded by the Customer, Screenbird acts as a data processor. The Data Processing Agreement applies to this processing.

The Customer is responsible for the lawfulness of Content that contains personal data.

9. Liability

Limitation

Screenbird's liability is limited to direct damages and shall not exceed the total amount paid by the Customer to Screenbird in the 12 months preceding the event causing the damage.

Exclusion

Screenbird is not liable for:

  • Indirect damages, including consequential damages, lost profits and missed savings
  • Damages caused by incorrect or unlawful Content from the Customer
  • Damages caused by outages at third-party service providers
  • Damages caused by unauthorized access resulting from negligence by the Customer

Indemnification

The Customer indemnifies Screenbird against all third-party claims, damages, costs and expenses (including reasonable legal fees) arising from or related to:

  • Content uploaded by the Customer
  • The Customer's use of the Service in violation of these terms or applicable law
  • Infringement of third-party intellectual property rights by the Customer's Content

10. Acceptable use and prohibited content

Customer obligations

The Customer:

  • Guarantees to own or have proper licensing for all uploaded Content
  • Is responsible for the hardware (screen, media player, internet connection) on which the player runs
  • Does not use the Service for spam, abuse or activities that disrupt the Service for other customers
  • Informs Screenbird of any security incident related to the Account

Prohibited content

The Customer shall not upload, store or distribute Content that:

  • Violates applicable laws or regulations
  • Contains child sexual abuse material (CSAM)
  • Promotes terrorism, violence or hatred against individuals or groups
  • Infringes intellectual property rights or other rights of third parties
  • Contains malware, viruses or other harmful code
  • Is defamatory, threatening or discriminatory
  • Constitutes fraud or impersonation

Enforcement

Screenbird reserves the right to, at its sole discretion and without prior notice:

  • Remove or disable access to Content that violates these terms
  • Issue warnings to the Customer
  • Temporarily suspend the Customer's access to the Service
  • Permanently terminate the Customer's Account

Screenbird shall not be liable to the Customer for any action taken under this section.

11. Abuse reporting

Reporting illegal content

Anyone may report Content on the Screenbird platform that they consider to be illegal. Reports can be submitted via our abuse report form.

Processing reports

Screenbird processes reports in a timely, diligent and non-arbitrary manner. The reporter will be informed of the decision and the reasoning behind it.

Repeat infringers

Screenbird maintains a repeat infringer policy. Accounts that repeatedly violate these terms will be permanently terminated.

12. Termination

By the Customer

The Customer may cancel the Subscription at any time via the dashboard or by email to support@screenbird.app. The Service remains available until the end of the current billing cycle.

By Screenbird

Screenbird may terminate the Subscription with immediate effect in case of:

  • Material breach of these terms
  • Non-payment after reminder
  • Use of the Service for illegal purposes
  • Repeated violation of the acceptable use policy (Section 10)

After termination

After termination, the Customer has 30 days to export Content. After this period, Content is permanently deleted. Account data is deleted in accordance with the retention periods in the Privacy Policy.

13. Changes to terms

Screenbird may amend these Terms and Conditions. Material changes will be announced at least 30 days in advance via email or the dashboard. Continued use of the Service after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms and Conditions are governed by Dutch law. Disputes shall be submitted to the competent court of the District Court of Noord-Nederland, location Groningen.

15. Miscellaneous

  • If any provision of these terms is void or voidable, the remaining provisions shall remain in full force
  • Screenbird may transfer rights and obligations under the agreement to a third party, provided the Customer is notified in writing
  • Failure by Screenbird to exercise a right does not constitute a waiver of that right
  • Examples, scenarios and images on the Screenbird website are illustrative and intended to demonstrate typical use of the Service
